Terms and Conditions of Sale

The following General Terms and Conditions of Sale govern the offer and sale of products on our website ("theoutnet.com"). The products purchased on theoutnet.com are sold directly by YOOX NET‑A‑PORTER GROUP S.p.A. (the “Vendor”), company with sole shareholder subject to the direction and coordination of Compagnie Financière Richemont S.A., with a registered office in Italy at via Morimondo 17, Milan 20143, business register number, tax code and VAT number 02050461207, fully paid share capital of EUR #CAPSOC#. 1. Our Business Policy

1.1 The Vendor offers products for sale on theoutnet.com and its e-commerce business services are available exclusively to its end users, i.e. "customers". We reserve the right to only accept orders from those over 18.

  1.2  “Customer" means any individual who is acting for purposes outside of his or her trade, business or profession. If you are not a "customer", please do not buy any products on theoutnet.com.

  1.3  The Vendor reserves the right not to accept orders received from users who are not "customers".

  1.4  These General Terms and Conditions of Sale exclusively regulate the offer, transmission acceptance of purchase orders relating to products on theoutnet.com between the users of theoutnet.com and the Vendor.

  1.5  The General Terms and Conditions of Sale do not apply to the provision of services or the sale of products by third parties that are present on theoutnet.com via links, banners or other hypertext connections. Before placing orders and purchasing products and services from third parties, we recommend that you verify their terms and conditions. Under no circumstances shall the Vendor be deemed liable for the supply of services or for the execution of e-commerce transactions between users of theoutnet.com and third parties.

2. How to place an order and our contract with you

2.1 To place an order for one or more products on theoutnet.com, you must add items to your shopping bag, enter your billing/shipping address, select your delivery option and choose your payment method to complete your order.

Before proceeding to purchase, we ask that you carefully read the General Terms and Conditions of Sale and the Return Policy. You may wish to print a copy using the print option and keep it safe for your own personal use.

  Before proceeding to purchase your products, we will provide you with a summary of our commercial and contractual conditions of sale, a summary of the main characteristics of each product ordered and its unit price, the type of payment you may use to purchase each product, shipping methods for the purchased products, shipping and delivery costs, the Vendor's information, address and how to contact the Vendor, and the delivery date of the products. The Vendor will also provide you with a summary of the terms and conditions for returning purchased products. You will be reminded of the legal guarantee of product conformity, and we will provide you with information for contacting our after-sales service and we will also remind you of the option of using the European Commission's platform for alternative out-of-court resolution of disputes, available on the website http://ec.europa.eu/odr.

2.3  On the order confirmation page, which appears just before the completion of your order, and which contains a reference to the General Terms and Conditions of Sale and the Return Policy, we will provide you with a summary of each product ordered, the price (including all applicable taxes, duties and fees), and the cost of shipping (including any additional fees you may be charged if you choose shipping that is faster than and/or different to standard shipping).

2.4 When you proceed to purchase, you will be required to pay the price indicated therein. Before order completion, you will be asked to identify and correct any possible input errors.

2.5 The order will be entered in our database for the time required to process your order and as stated by law. You may access your order under  “View All Orders” within your account.   2.6 English is the language used for the contract with the Vendor.

2.7 After your order has been placed, the Vendor will process your order and send you an automatic acknowledgment of receipt. However, this does not constitute acceptance of your order by the Vendor nor does a contract between you and the Vendor exist at this point in time.  The Vendor's acceptance of your order will take place when the Vendor emails you to confirm that the order has been dispatched, at which point a contract will come into existence between you and the Vendor. The acceptance email represents an electronic purchase order receipt and contains the General Terms and Conditions of Sale, a summary of the Return Policy, and all relevant information relating to your order.   2.8 If the Vendor is unable to accept your order for any reason (including any of the reasons described in section 2.9 or if a product is out of stock), the Vendor will inform you of this.

2.9 The Vendor is also entitled to cancel your order, even after accepting it, in the following circumstances: the Vendor has identified an obvious and error in the price or description of the product; the Vendor suspects illegal or fraudulent activity; the Vendor reserves the right to  restrict multiple quantities of an item being shipped to any one customer or postal address; or you have not complied with these General Terms and Conditions of Sale. If so, the Vendor will notify you as soon as possible of such cancellation and require you to return the products if they have already been delivered to you.

2.10 By placing an order, you unconditionally accept and undertake to observe the provisions of these General Terms and Conditions of Sale in your contract with the Vendor. Should you not agree with certain provisions of these General Terms and Conditions of Sale, please do not complete your purchase on theoutnet.com.

2.11 By placing an order, you agree and accept these General Terms and Conditions of Sale as well as further conditions contained on theoutnet.com, including those accessed via links, and including the General Terms and Conditions of UsePrivacy Policy the Return Policy

3. Guarantees and product price indication

3.1 The website theoutnet.com exclusively sells luxury and products. These products are purchased by the Vendor from fashion houses, manufacturers and dealers, carefully selected for their stringent quality control.

  3.2 The Vendor does not sell second-hand products, flawed products or products of lower quality than the corresponding market standards. 

  3.3 The main characteristics of the products are shown on each product page on theoutnet.com. The images and of the products offered for sale on theoutnet.com may not correspond exactly to the true garments due to the Internet browser or monitor used.

  3.4 From time to time, prices are subject to change in response to currency exchange rate changes, markdowns other commercial factors. 

  3.5 Please check the final price before placing your order. In the event of in the indication - by the Vendor - of the product price or calculation of the amount requested at payment, the Vendor will reject the order and contact the user to offer them the opportunity to purchase the product(s) at the correct price. 

  3.6 The Vendor cannot accept purchase requests from countries not listed on the splash page.

  3.7 All products come with THE OUTNET and designer tags (where applicable) attached. 

  3.8

All products sold by the Vendor are covered by a guarantee for lack of conformity, as provided by the applicable law (6 years in England, Wales and Northern Ireland and 5 years in Scotland). You shall inform the Vendor of the existence of any such lack of conformity within a period of two (2) months from the day when you detected the lack of conformity. Please contact Customer Care. In the case of lack of conformity, you may choose between a repair or a replacement of the product. If these remedies are impossible or disproportionate you are entitled to either require the Vendor to make an appropriate reduction in the price or to terminate the contract.

4. Payment

4.1 Payment of the price of the products and the costs of their shipping and delivery must be made using one of the methods indicated on the payment page. Under no circumstances will you be charged more than the cost incurred by the Vendor relative to the payment method chosen by you. Payment can be made by Visa, MasterCard, American Express, Maestro and JCB cards, Apple Pay and any other methods which may be clearly advertised on the Site from time to time.

4.2 In the case of payment by credit/debit card, all details (for example, card number or expiration date) will be sent via an encrypted protocol to the banks which provide remote electronic payment services to the Vendor, without third parties having any access whatsoever thereto. These details will not be used by the Vendor except for carrying out procedures relevant to your or issuing refunds in the case of returns, subsequent to the exercise of your right to return, or for reporting cases of fraud on theoutnet.com to the police or other authorities. The purchase price of the products and the costs for their delivery as indicated on the order summary page will be charged to your account at the moment in which your order is shipped.

4.3 Regardless of your shopping destination and the currency you shop in, your bank may charge you an international transaction fee. THE OUTNET is not responsible for any such fee or charge.

  4.4 Gift Cards are no longer available to purchase. For assistance with redeeming existing gift cards, please contact Customer Care.

  4.5 We offer Store credit should the items purchased be unsuitable. You can choose to receive your refund either as store credit to your THE OUTNET account, if you are a registered user, or back to the original payment method. Your store credit refund will be visible in your account within 24 hours from issuing it and the credit will be automatically used on your next purchase. You will be required to pay any eventual balance with another payment method of your choice: Visa Debit, Visa Electron, MasterCard, American Express, Carte Bleue, PayPal, Klarna and Apple Pay. Please note, store credit is not transferrable and will be automatically reissued in your account if you request a refund for an order paid with it. 

5. Promotional codes

5.1 Promotional codes allow you to take advantage of a discount on your purchase on theoutnet.com. 

  5.2 The promotional code box is displayed on the payment page at checkout: after you have added items to your Shopping Bag,  enter your promo code and then press the “submit” button for the discount to be applied. 

  5.3

Promotional codes are non-transferable and there is no cash alternative. They cannot be used in conjunction with any other promotional code or offers unless otherwise stated. Please note, items marked as “Just In”, “Bestsellers”, "Styles at 70% Off", Sale/Clearance, Pre-loved ones, both in Menswear and Womenswear, are excluded from the promotions.

  5.4 If for any reason you wish to return an item to which you applied the promotional code, you should follow the standard return procedure, as described in the Return Policy. Once your return has been accepted, the respective code can be used again if it hasn’t expired. The difference in price between the promotional code and the item you purchased will be reimbursed, according to the time frame of the applicable refund procedure.

6. Clearance sales

6.1 Clearance sales are open to all registered customers.

  6.2 Customers must be registered to participate in Clearance sales.

  6.3 All items are sold on a first come, first served basis and must be purchased before the relevant clearance timer expires.

7. Shipping, delivery insurance

7.1 For information about delivery, please visit our help section and read the details carefully. The information provided therein is an integral part of these General Terms and Conditions of Sale.

7.2 You will own the goods on and from the later of the point in time when: (a) we receive payment in full, or (b) we deliver the goods to you.

7.3 THE OUTNET insures each purchase during the time it is in transit until it is delivered to your specified delivery address. We require a signature for any goods delivered, at which point responsibility for your purchased goods passes to you. If you have specified a recipient who is not you for delivery purposes (for example as a gift) then you accept that evidence of a signature by them (or at that delivery address) is evidence of delivery and by THE OUTNET and transfer of responsibility in the same way. The goods are your responsibility from the time we deliver them to the address you gave us.

11. Governing law and dispute resolution

11.1

These General Terms and Conditions of Sale (including the Return Policy), their subject matter and formation, are governed by English law.

11.2 In the event of a dispute between the Vendor and you arising from the General Terms and Conditions of Sale (including the Return Policy), you and we both agree that the courts of England and Wales will have exclusive jurisdiction except that if you are a resident of Northern Ireland you may also bring proceedings in Northern Ireland, and if you are resident of Scotland, you may also bring proceedings in Scotland.

  11.3 Please note that the European Commission also provides a platform for alternative out-of-court resolution of disputes, available on the website http://ec.europa.eu/odr.

12. Amendments and updates

12.1 The General Terms and Conditions of Sale (including the Returns Policy) may be amended from time to time. Any changes are effective as of the date of publication on theoutnet.com and will apply to any new orders you place following the date of publication.
